Section 1: Waiver and Liability Agreement

INFORMED CONSENT, RELEASE OF LIABILITY, AND ASSUMPTION OF RISK

1.1 Program Scope
I voluntarily enrol in the ski technique program (the “Program”) offered by Ski Headquarters GmbH (“Company”, "SkiHQ"). The Program includes, but is not limited to:

  • Alpine skiing, off-piste skiing, freestyle skiing, ski touring, and related fitness activities.

  • Use of ski lifts, indoor/outdoor training facilities, and equipment.

1.2 Medical Disclosure
I affirm that:

  • I am in good physical condition and have disclosed all known medical conditions, injuries, or disabilities (e.g., heart conditions, epilepsy, mobility impairments) that may affect my ability to participate safely.

  • I have obtained a physician’s approval to participate in strenuous physical activity and assume all risks associated with participating without such approval.

1.3 Assumption of Risk
I acknowledge that skiing involves inherent risks, including but not limited to:

  • Collisions with objects, participants, or equipment.

  • Variable weather, snow conditions, or terrain hazards.

  • Equipment failure or improper use.

1.4 Release of Liability
In exchange for participation in the Program, I hereby:

  • Waive all claims against Ski Headquarters GmbH, its directors, employees, agents, or affiliates (“Releasees”) for injury, loss, or death arising from my participation, except for gross negligence or intentional misconduct.

  • I agree to indemnify the leasees for any third-party claims arising from my actions.

  • Accept full responsibility for ensuring my ski equipment meets safety standards.

1.5 Governing Law
This Agreement is governed by Swiss Law (Canton of Valais). Liability for gross negligence or intentional harm is not waived. Disputes shall be resolved exclusively in the Valais courts.

Section 2: Terms of Service

2.1 Acceptance of Terms

By accessing the Services (www.ski-hq.com, apps, or content), you agree to these Terms of Service. The Company reserves the right to modify these Terms at any time. Continued use constitutes acceptance.

2.2 Eligibility

  • Users under 18 require parental consent.

  • Users must comply with Swiss laws and the laws of their local jurisdiction.

2.3 Services Overview

The Company offers:

  1. Standard Services: Access to video streaming, training content, and community forums.

  2. Performance Program: A premium, high-ticket service providing unlimited remote coaching, personalised training plans, and direct access to certified coaches.

    • Program Features:

      • Customised ski training regimens.

      • Ongoing progress assessments.

      • 24/7 support via dedicated communication channels.

    • Eligibility: The Performance Program is available only to users aged 18 and above who acknowledge its intensive nature and financial commitment.

2.4 Payments & Refunds

a. General Payments

  • Subscriptions are billed monthly/annually.

  • 14-day refund policy applies to Standard Services (excluding the Performance Program).

b. Performance Program Payments

  • Pricing: The Performance Program is priced between $3,000 and $10,000 USD, depending on duration and customisation.

  • Payment Structure:

    • Full payment is required upfront to enrol in the program.

    • Payment plans may be available at the Company’s discretion (e.g., 50% deposit + 50% after 30 days).

  • Refund Policy:

    • 14-day cooling-off period: A full refund is available if requested in writing within 14 days of purchase, provided no coaching services have been utilised.

    • No refunds will be issued after coaching sessions begin or after the 14 days.

    • Exceptions: Refunds for gross negligence or failure to deliver services may be granted at the Company’s sole discretion.

c. Chargebacks

  • Disputing valid charges via credit card/PayPal will result in immediate termination of services and may lead to legal action to recover fees.

2.5 Performance Program Terms

  • Coaching Scope:

    • Coaching is provided remotely (e.g., video calls, messaging).

    • Users must adhere to scheduled sessions and provide timely feedback.

  • Termination:

    • The Company reserves the right to terminate the Program for abusive behaviour, non-payment, or failure to engage.

    • Users may terminate with 30 days’ written notice, but no refunds are issued for unused services.

  • Outcomes:

    • Results depend on user effort and adherence. The Company does not guarantee specific performance improvements.

2.6 Intellectual Property

All content (videos, text, software) is owned by Ski Headquarters GmbH. Unauthorised reproduction is prohibited.

2.7 Data Protection

  • Personal data is processed in accordance with our Privacy Policy. Withdraw consent via [email].

  • Data may be stored in Switzerland or the EU/EEA.

2.8 Service Availability

  • The Company is not liable for interruptions caused by maintenance, third-party failures, or force majeure events (e.g., natural disasters, pandemics).

  • Content may be updated or removed without notice.

2.9 Termination

  • The Company reserves the right to suspend accounts for breaches, fraud, or non-payment.

  • Users may terminate their accounts by providing written notice.

2.10 Limitation of Liability

  • The Company is not liable for:

    • Indirect, incidental, or punitive damages.

    • Injuries arising from remote coaching advice.

    • Financial losses due to the user’s failure to implement coaching recommendations.

  • Maximum liability is limited to fees paid by the user in the preceding 12 months.

2.11 Dispute Resolution

  • Disputes shall first be resolved through mediation in the Canton of Valais, Switzerland.

  • Unresolved disputes proceed to the Valais courts. CISG is excluded.

Section 3: General Provisions

3.1 Severability

If any clause is invalid, the remainder remains enforceable.

3.2 Entire Agreement

These Terms supersede prior agreements.

3.3 Modifications

  • The Performance Program terms may be updated with 30 days’ notice to active participants.

Section 4: In-Person Camps

4.1 Camp Offerings

The Company (SkiHQ) provides in-person ski coaching camps in Verbier, Valais. Each camp is either a weekend program or a 5-day intensive program. Camps include guided coaching by certified instructors, on-snow training, off-snow seminars and ski technique instruction. All camps are subject to these Terms.

4.2 Company Cancellation of Camp

If fewer than three (3) participants enrol in a camp, SkiHQ may cancel the camp. In the event of cancellation, SkiHQ will notify registered Participants at least fourteen (14) days before the camp start date and will issue a full refund of any camp fees paid. SkiHQ’s cancellation obligations are limited to providing notice and refund; SkiHQ is not liable for any other costs you may incur (such as travel or accommodation) when a camp is cancelled.

4.3 Participant Cancellation

To cancel your participation, you must notify SkiHQ in writing. If you cancel your booking more than thirty (30) days prior to the camp start date, SkiHQ will refund 50% of the camp fee. Cancellations made within thirty (30) days of the camp start date are not eligible for any refund. Any discounts or credits (if applicable) expire upon cancellation. All refunds are issued in the original form of payment. SkiHQ strongly recommends that participants obtain trip cancellation insurance to protect against non-refundable costs.

4.4 Participant Responsibilities

Participants are responsible for arranging and paying for their own lodging, meals, local transportation, and ski lift passes. These items are not included in the camp fee. Each Participant is responsible for arriving at the meeting point on time and with appropriate ski equipment. Participants must carry a valid travel accident insurance policy covering skiing. Suppose a Participant is unable to attend or complete the camp due to illness, injury, or personal reasons. In that case, no refund or partial credit will be given, and SkiHQ will not cover any related expenses.

4.5 Travel and Accident Insurance

Participants must maintain adequate travel and accident insurance for the duration of the camp, including coverage for medical evacuation and repatriation. This is an express condition of participation. Participants acknowledge that SkiHQ does not provide health or accident insurance. Any claim for medical treatment, emergency evacuation, or related expenses is the Participant's sole responsibility.

4.6 Assumption of Risk and Waiver of Liability

Participants acknowledge that skiing and ski instruction are inherently hazardous activities. Skiing involves risks such as falls, collisions, variable weather and snow conditions, and equipment failure. By enrolling, each Participant accepts these risks. To the fullest extent permitted by Law, SkiHQ and its staff are not liable for any injury, loss, or damage sustained by the Participant during a camp, unless caused by SkiHQ’s gross negligence or willful misconduct. Participants agree to release SkiHQ (and its officers, guides, and employees) from all claims and waive any right to sue for ordinary negligence.

4.7 Compliance with Swiss Law

SkiHQ conducts its camps in compliance with all applicable Swiss laws and regulations for ski instruction. In particular, SkiHQ camps are provided by Powder Extreme Sarl, and all coaches are legal employees of Powder Extreme Sarl. Powder Extreme Sarl provides the required insurance for operating ski coaching programs. SkiHQ and Powder Extreme's operations are governed by Swiss Law (Canton of Valais), and any disputes will be resolved in the courts of Valais.

4.8 Force Majeure and Interruptions

SkiHQ is not responsible for any delays, interruptions, or cancellations caused by factors beyond its reasonable control. This includes, without limitation, severe weather, avalanche danger, lift closures, natural disasters, governmental restrictions, epidemics/pandemics, or other force majeure events. In such events, SkiHQ may modify or suspend the camp itinerary or schedule, and cannot offer refunds for days missed due to these circumstances.

  • Risk & Liability: Skiing is inherently a risky activity. You assume all risks of participation. SkiHQ is not liable for injuries or losses except in cases of gross negligence.

  • Legal License: SkiHQ camps and coaches are provided by Powder Extreme Sarl.

  • Force Majeure: SkiHQ is not responsible for disruptions beyond our control (e.g. extreme weather, ski-lift closures, or other force majeure events).
